Pricing Addenum

1. OverviewThis Pricing Addendum ("Addendum") is incorporated by reference into the Targetflow Terms of Service agreement between Targetflow Inc. ("Targetflow," "We," "Us," or "Our") and the customer identified in the applicable Order Form ("Customer," "You," or "Your"). This Addendum sets forth the specific pricing terms, payment structure, and related definitions applicable to Your subscription to the Targetflow Service.
2. Fees2.1 Setup FeeA one-time, non-refundable setup fee of $399 will be charged upon execution of this Addendum. This fee covers initial account configuration, onboarding, and implementation of the Targetflow Service.
2.2 Base Monthly Subscription FeeYou will be charged a base monthly subscription fee of $299, which includes processing of up to three hundred (300) Processed Leads per calendar month.
2.3 Overage FeesFor each Processed Lead in excess of the three hundred (300) included in the base monthly subscription fee, You will be charged an overage fee of $1.00 per Processed Lead ("Overage Fee").
3. Billing Process3.1 Base Monthly Subscription FeeThe base monthly subscription fee will be charged in accordance with the billing cycle specified in the Targetflow Billing Policies.
3.2 Overage Fee BillingOverage Fees will be calculated and billed as follows:
a) Threshold Billing: When Your accumulated Overage Fees reach or exceed $300, Targetflow will automatically charge Your payment method on file for the total accumulated Overage Fees; and
b) Month-End Billing: Any accumulated Overage Fees that have not triggered a Threshold Billing will be charged to Your payment method on file at the end of each calendar month.
3.3 Invoice and StatementYou will receive an invoice for each billing event, including the monthly subscription fee and any Overage Fee charges. Additionally, You will have access to usage reports through Your Targetflow account dashboard.
4. Processed Lead Definition4.1 Definition of "Processed Lead"For purposes of this Addendum, a "Processed Lead" means any individual contact record that meets all of the following criteria:
a) Is imported into, created within, captured by, or otherwise entered into the Targetflow Service under Your account in a single pipeline;
b) Undergoes at least one (1) automated or manual processing action within the Targetflow Service, including but not limited to:
- Assignment to a sales representative or team
- Inclusion in a marketing automation sequence
- Categorization or segmentation
- Status change
- Score adjustment
- Addition to a campaign
- Communication sent through the Targetflow Service
- Any other substantive interaction or modification; and
c) Is not identified as and marked as a duplicate of an existing Processed Lead within the same calendar month.
4.2 Lead Counting MethodologyTargetflow will count Processed Leads based on the following methodology:
a) Measurement Period: Processed Leads are counted on a billing cycle.
b) New vs. Existing Leads: Each unique contact record in a single pipeline will be counted as a Processed Lead only once per calendar month, regardless of how many processing actions are performed on that record during the month. If a Processed Lead from a previous month undergoes new processing actions in the current month, it will be counted as a Processed Lead for the current month. A single unique contact registered in two pipelines will be counted as two Processed Leads.
c) Deduplication: Targetflow employs automated deduplication based on phone number. Contact records identified as duplicates within the same calendar month will not be counted as separate Processed Leads.
4.3 Monitoring and Reportinga) Usage Dashboard: Targetflow provides a real-time dashboard accessible through Your account that displays Your current Processed Lead count for the month, historical usage, and projected overage charges.
b) Notification: Targetflow will make reasonable efforts to notify You when Your Processed Lead count approaches or exceeds the monthly allocation included in Your base subscription.
c) Reporting Disputes: Any disputes regarding Processed Lead counting must be submitted in writing to billing@targetflow.com within fifteen (15) days of the date of the relevant invoice. Targetflow will investigate such disputes in good faith and make appropriate adjustments if warranted.
5. Term and Termination5.1 TermThis Addendum shall commence on the Effective Date and shall continue for the duration of Your subscription to the Targetflow Service, including any renewal terms, unless earlier terminated in accordance with the Terms of Service.
5.2 Effect of TerminationUpon termination of Your subscription to the Targetflow Service, You will be responsible for payment of all outstanding fees, including any unpaid Overage Fees, in accordance with the Terms of Service and Billing Policies.
6. Miscellaneous6.1 PrecedenceIn the event of any conflict between the terms of this Addendum and the Terms of Service or Billing Policies, the terms of this Addendum shall prevail with respect to the specific pricing terms contained herein.
6.2 ModificationsTargetflow reserves the right to modify this Addendum in accordance with the modification procedures set forth in the Terms of Service.
6.3 Entire AgreementThis Addendum, together with the Terms of Service, Billing Policies, Acceptable Use Policy, and any other referenced policies and agreements, constitutes the entire agreement between You and Targetflow regarding the subject matter herein.
