This Service Agreement (the “Agreement”) is entered into by and between:

Together referred to as the "Parties."




1. SUBJECT OF THE AGREEMENT

1.1. The Company agrees to provide the Customer with services related to the setup, management, and maintenance of webinar sales funnels, as well as additional services as outlined in this Agreement.
1.2. The Customer agrees to pay for the services provided by the Company in accordance with the terms specified in Section 4 of this Agreement.


2. RESPONSIBILITIES OF THE PARTIES

2.1. Responsibilities of the Company
The Company shall provide the following services:

Setup and Maintenance of Nurturing Process using the Targetflow platform:
  • Analyze the Customer’s objectives and develop a webinar funnel strategy.
  • Configure the technical aspects of the funnel.
  • Integrate necessary tools such as CRM systems, payment processors, and email services.
  • Test and optimize the funnel for efficiency and reliability.
  • Provide ongoing support and updates for the funnel during the agreed period.
Additional Services (as agreed upon by the Parties):
  • Marketing strategy consulting.
  • Advertising campaign setup (e.g., Google Ads, Facebook Ads).
  • Webinar production (scripts, presentations, recording).
  • Customer support service creation and implementation.
  • Sales department setup for lead processing.
2.2. Responsibilities of the Customer
  • Provide accurate and up-to-date information required for the services.
  • Make timely payments in accordance with the terms of this Agreement.
  • Approve intermediate milestones of the project promptly.


3. RIGHTS OF THE PARTIES

3.1. Rights of the Company
  • Request complete and timely information from the Customer to fulfill the services.
  • Suspend services if the Customer fails to meet payment terms or other obligations under this Agreement.
3.2. Rights of the Customer
  • Expect the services to be performed in accordance with the terms of this Agreement.
  • Request updates and reports on the progress of the project at each stage.


4. PAYMENT TERMS

4.1. The services shall be provided on a monthly subscription basis.
4.2. The monthly subscription fee is $________.
4.3. A discount of $_____ will apply for the first month.
4.4. The Customer shall receive an invoice from the Company each month on the due date specified in this Agreement. Payments can be made via bank transfer to the Company’s account as specified in Section 10 of this Agreement, or through automated billing processed by Stripe or etc.


5. TERMS AND TERMINATION

5.1. This Agreement shall remain in effect for a minimum of _____ months.
5.2. The Customer may terminate the Agreement earlier, but a termination penalty of $_____ shall apply for early termination.
5.3. Either Party may terminate this Agreement for cause if the other Party materially breaches the terms of this Agreement.
5.4. The Agreement may be terminated by either Party with a written notice provided at least ___ calendar days prior to the start of the next billing cycle, provided the minimum contract term has been fulfilled.
5.5. The Customer agrees to comply with the rules and policies of the Targetflow platform as outlined in the Company's Terms of Service. Failure to comply may result in termination of this Agreement. The Terms of Service can be accessed at the following link: Terms of Service.


6. CONFIDENTIALITY

6.1. Both Parties agree to maintain the confidentiality of all information related to this Agreement.
6.2. The Company agrees not to disclose any details of the Customer’s project without prior written consent.


7. LIABILITY OF THE PARTIES

7.1. The Company shall be responsible for the quality and timely delivery of the services.
7.2. The Customer shall be responsible for any delays or issues caused by the provision of inaccurate or incomplete information.


8. OTHER CONDITIONS

8.1. Any amendments or additions to this Agreement must be made in writing and signed by both Parties.
8.2. Appendices to this Agreement form an integral part of the Agreement.


9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of [State/Country].
